How US Company Registration for Non-Residents

What Nobody Tells You Upfront

If you've started googling US company registration, you've probably noticed the internet is full of generic checklists that all say the same five things. What most of them skip is the stuff that actually trips people up, especially if you're not living in the US and trying to figure out US company incorporation from another country entirely.

So let's do this properly. Here's what US company registration for non-residents actually looks like once you get past the surface-level advice.

First, the reassuring part

You don't need a US visa. You don't need to have ever visited the country. You don't need a Social Security Number. None of that is required to legally own and run a US company. Every year, thousands of founders complete US company incorporation entirely from abroad, from home, on a laptop, without a single trip to the States.

What you do need is a bit of patience with paperwork and a willingness to use a few third-party services to fill in the gaps that only exist because you're not physically there.

Picking your structure: LLC vs Corporation

This is usually the first real decision in US company formation, and it shapes everything after it.

An LLC (Limited Liability Company) is the go-to option for most non-resident founders — freelancers, consultants, e-commerce sellers, SaaS builders. It's simple to run, shields your personal assets, and the taxation is "pass-through," meaning the company itself generally isn't taxed separately; profits flow to you as the owner.

A C-Corporation is the better fit only if you're planning to raise venture capital or issue equity to co-founders and employees down the line. It comes with more paperwork and double taxation (company profits taxed, then dividends taxed again), so it's not the default choice unless you specifically need investor-friendly structuring.

For most people reading this, an LLC is the right starting point.

Where to register

You're not tied to any particular state just because you don't live in the US. Three states dominate for non-resident US company registration:

  • Wyoming — low fees, no state income tax, strong privacy. The quiet favorite for solo founders and online businesses.

  • Delaware — the "classic" choice mostly because US investors are familiar with it and its corporate law is well-tested.

  • New Mexico — similarly cheap and low-maintenance, though less commonly used.

If you're not planning to raise institutional funding anytime soon, Wyoming tends to be the simplest and most cost-effective option.

The part everyone forgets: a registered agent

Every state requires your company to have a registered agent — someone with a physical address in that state who can accept legal and government mail on your behalf. Since you're overseas, you'll need to pay for this service (typically $50–$150 a year). It sounds like a minor detail, but skipping it isn't optional; it's a legal requirement for US company incorporation in every state.

Filing the actual paperwork

For an LLC, this means submitting Articles of Organization to your chosen state. Most states now process this entirely online. Turnaround time ranges from same-day in some states to a few weeks in others.

Getting your EIN

Your EIN (Employer Identification Number) is essentially your company's tax ID with the IRS. You'll need it to open a bank account, file taxes, and generally operate. The good news: non-residents without a Social Security Number can still get one by filing Form SS-4 through fax, mail, or a form service that handles it on your behalf.

Banking without stepping foot in the US

This used to be the biggest headache in US company registration for non-residents — banks wanted you physically present. That's changed. Platforms like Mercury, Wise Business, and Payoneer now let you open a US business account remotely, no flight required.

Don't stop at incorporation — stay compliant

Once your US company formation is complete, there's ongoing maintenance:

  • Annual state report and franchise fee (amount varies by state)

  • IRS Form 5472 plus a pro forma 1120 required specifically for foreign-owned single-member LLCs

  • Renewing your registered agent

Miss these, and you risk penalties or your company falling out of "good standing," which can cause real problems if you ever need to prove your company is legitimate to a bank or client.

Bottom line

US company registration for non-residents isn't the bureaucratic maze it's made out to be. Realistically, from picking a state to having a working bank account, the whole US company incorporation process can be done in a matter of weeks, entirely online, entirely remote.

If the paperwork side feels overwhelming, a formation service that specializes in non-resident US company registration is usually worth the fee. They've handled the edge cases already, and they'll catch the filing you'd otherwise forget. Contact us.
